1. Syarat bagi Tanggung Jawab Moral
Syarat bagi tanggung jawab moral dalam perusahaan adalah :
a. Tindakan itu dijalankan oleh pribadi yang rasional
b. Bebas dari tekanan, ancaman, paksaan atau apapun namanya
c. Orang yang melakukan tindakan tertentu memang mau melakukan tindakan itu
2. Status Perusahaan
Adapun pengertian staus perusahaan memiliki dua pandangan (Richard T. De George, Business Ethics, hlm.153), yaitu:
• Legal-creator, perusahaan sepenuhnya ciptaan hukum, karena itu ada hanya berdasarkan hukum
• Legal-recognition, suatu usaha bebas dan produktif
